For participating venues
Venue Agreement
This agreement between the venue you represent and Dysfunctional Co, LLC (“Wallspace”) covers venue information, reservation decisions, physical display logistics, buyer pickup, venue commission, and use of the service.
- Effective date
- October 12, 2026
- Legal bundle version
- 2026-10-12
1. Authority and venue information
You confirm that you are at least 18, have authority to bind the venue, and have lawful control of the premises. Keep the venue name, address, contact, hours, access details, display capacity, rules, and public information accurate.
2. Reservation decisions
You may accept or decline an artist request based on fit, timing, available space, safety, and the venue’s stated rules. Venue acceptance creates an exhibition commitment for the identified artist, venue, and dates and incorporates the current Platform Terms and this Venue Agreement. The artist separately accepts the Platform Terms and Artist Agreement.
Works included in the initial request are samples, not a fixed final lineup. The artist may add, remove, replace, or reprice eligible unsold works through Wallspace during the exhibition without creating a new agreement version. You may report an unsafe, unsuitable, or rule-breaking work and require its prompt removal through the Wallspace support process.
For each accepted exhibition, the venue and artist agree that, before a work is delivered for display, its current Artwork Price in the Wallspace exhibition record is its agreed value and minimum authorized selling price, excluding sales tax, for purposes of chapter 18.110 RCW where applicable. The disclosed venue commission and Wallspace fee state the compensation basis. Artist-authorized recorded price changes apply prospectively; already-issued checkouts retain their authorized prices, and a later change does not rewrite a completed sale or a value agreed before loss or damage. The Artist Agreement’s Artist Net Amount valuation for the display relationship applies only to the extent the law allows and does not replace this statutory value.
3. Premises and display operations
- Provide reasonable access for agreed installation, maintenance, buyer pickup, and removal times.
- Keep the agreed display area reasonably safe and communicate mounting, size, framing, staff, and access restrictions before acceptance.
- Do not alter, move outside the accepted display area, lend, pledge, sell, reproduce, or dispose of an artwork without the artist’s authorization.
- Keep Wallspace QR or identifying materials reasonably visible and do not misstate an artwork’s creator, price, availability, or condition.
4. Physical artwork and risk allocation
Wallspace never takes physical custody of artwork. The artist remains responsible for transport, condition documentation, display readiness, installation and removal where assigned, maintenance, and retrieval.
Subject to nonwaivable statutory rights, artwork is displayed at the artist’s own risk. Neither Wallspace nor the venue is responsible for theft, loss, or damage to artwork, however it happens, while it is transported, installed, displayed, stored, or removed. This applies only to the extent the law allows. It does not waive an art dealer’s strict liability for loss or damage while a consigned work is in that dealer’s possession under RCW 18.110.020(4), where that law applies.
Where chapter 18.110 RCW applies to a work delivered on consignment to an art dealer, the work and sale proceeds retain the statutory trust-property protections until a bona fide third-party sale and payment of the amount due to the artist, respectively. Nothing in this agreement waives those protections, an applicable dealer’s statutory duties, or other nonwaivable rights or remedies. The chapter’s application depends on the actual consignment and delivery facts.
5. Sales and buyer pickup
The artist is the disclosed seller of the artwork. Wallspace operates checkout as the artist’s limited sales and payment-collection agent and as a marketplace facilitator; it does not buy the artwork or sell it in its own name. Unless Wallspace expressly authorizes another process, venue staff must not change prices, promise discounts, make authenticity or condition warranties, or collect payment for a QR-initiated purchase.
Buyers confirm they are at the venue, the selected artwork is present, and they intend to collect it now. After Wallspace confirms payment, buyers may safely remove that artwork without staff approval. Provide reasonable access; staff assistance is optional, and no matching check, pickup code, scan, or collection confirmation is required. Do not ship artwork or arrange delivery through Wallspace. Promptly report damage, suspected unauthorized removal, a failed pickup, or a mismatch.
Sales records show payment, not verified physical collection. Buyer email and receipt reference are available privately for your own sales and may be used only for transaction support, not unsolicited marketing.
6. Commission and Stripe
The commission percentage shown when a reservation is accepted applies to the artwork subtotal for a qualifying Wallspace sale. That commission is owed by the artist to the venue for its display and related services, separately from the artist’s Wallspace fee. Wallspace collects and passes on that amount as the artist’s payment agent; the commission is not compensation earned by Wallspace or a venue service purchased by Wallspace for itself. You authorize Wallspace to allocate it through Stripe to the connected venue account, subject to payment settlement, transfer reversals required by law or described in this agreement, and Stripe requirements. Wallspace’s express refund, dispute and payment-loss responsibilities below remain unchanged.
For new sales, venue and artist transfers are scheduled no earlier than 14 calendar days after Wallspace records confirmed payment, subject to available funds, payment review and Stripe requirements. Bank settlement takes additional time; this is not a return window or guaranteed bank payout date. Unresolved cases remain on hold for review, including after day 14. You remain responsible for accurate payout and tax information and taxes on your own commission income.
For a sale in which the buyer received the artwork, an ordinary payment dispute, including unrelated buyer or card fraud, does not by itself take away an honest venue’s commission. Wallspace handles ordinary disputes and bears ordinary processing, refund and dispute fees and unrecoverable payment losses.
If Wallspace verifies that a buyer who paid cannot receive missing, stolen or pre-handover damaged artwork, it will refund the purchase and neither the artist nor venue earns a share. An affected original commission transfer may require lawful recovery, but a buyer refund does not itself reverse it. Wallspace gives up its sale fee and covers ordinary processing and refund costs. No automatic bank debit or offset of unrelated future earnings is authorized here.
Wallspace operates the Stripe charge as the platform payment merchant while collecting the artist’s sale proceeds and paying the venue commission as agent. The artist remains the artwork seller. The venue receives its commission as a payout recipient through Stripe. Stripe presents any terms that apply to the venue during Stripe onboarding; for payout recipients, see the Stripe Recipient Notice at stripe.com/legal/connect-account/recipient. You agree to provide Wallspace and Stripe accurate and complete information about the venue and its business, and you authorize Wallspace to share that information and related transaction information with Stripe to set up and send the venue’s payouts.
Wallspace’s records distinguish the venue’s commission from the artist’s gross sale, the Wallspace fee, sales tax, and later adjustments. The venue remains responsible for its own registration and taxes on its commission income. A commission summary is a transaction record, not a tax return or a substitute for an applicable tax form.
7. Promotion and artist rights
You may use the artist name, approved artwork images, and public exhibition details only to present and reasonably promote the accepted exhibition. You receive no ownership or broader merchandise, reproduction, or licensing right.
8. Incidents, cancellation, and end of display
Promptly report safety concerns, suspected theft, damage, disputes, closure, schedule problems, or an inability to provide access. Cooperate in preserving relevant facts and records. At the end of the exhibition, provide reasonable access for timely removal.
You may cancel an accepted exhibition at any time before completion without artist or founder approval or a cancellation fee. Give a short reason through Wallspace; a Live exhibition is recorded as ended early. Coordinate removal with the artist. New checkout stops, but existing paid sales are preserved and an in-flight payment may still complete and need support review. Cancellation is not a refund or confirmation that physical work has been removed.
Early end retains the original exhibition month. A pre-Live cancellation may also retain that month for unresolved display or checkout commitments. New dates require a new eligible request and acceptance. The original exhibition, consent and private activity remain in its history; Wallspace does not independently verify physical handoff.
9. Responsibility for your breach
To the extent allowed by law, the venue remains responsible for third-party claims arising from its lack of authority, unsafe premises, staff conduct, unauthorized sale or release, misuse of artist content or unlawful conduct. Wallspace buyer refunds, payment disputes and their fees are governed by “Commission and Stripe.” Apart from recovery of an affected original commission transfer after a verified inability-to-collect refund, this section does not make the venue pay Wallspace any buyer refund, dispute amount, processing, refund or dispute fee, or payment loss. A dispute alone does not establish venue wrongdoing. This does not shift Wallspace’s or the artist’s own misconduct or a duty that cannot lawfully be shifted.
