For everyone using Wallspace
Platform Terms of Service
Dysfunctional Co, LLC (“Wallspace”) operates the service. These terms govern access to Wallspace and work together with the role-specific agreements shown when an artist, venue, or buyer takes an action on the platform.

1. Accepting these terms
By creating an account or selecting a checkbox that refers to these terms, you agree to this version of the Platform Terms and acknowledge the Privacy Policy. Artists also agree to the Artist Agreement, venues agree to the Venue Agreement, and buyers agree to the Purchase Terms at the relevant action.
You must be at least 18 years old. If you use Wallspace for a business or venue, you confirm that you have authority to bind that business.
2. What Wallspace does
Wallspace helps artists and venues find one another, coordinate exhibitions, present artwork to visitors, and complete eligible in-person artwork purchases. Wallspace provides the software, records, checkout, payment allocation, and transaction support described in the applicable agreement.
Wallspace never receives, stores, transports, installs, handles, or takes physical custody of artwork. Artists and venues coordinate every physical handoff directly.
3. Accounts and communications
- Provide accurate, current information and keep access to your email account secure.
- Tell Wallspace promptly if you suspect unauthorized access or an incorrect account role.
- Allow Wallspace to send service messages needed for sign-in, reservations, exhibitions, payments, receipts, safety, and support.
- Do not share another person’s private information except when needed for a legitimate Wallspace transaction.
4. Listings, reservations, and availability
Public profiles, venue availability, artwork lineups and prices may change. Reservation samples are not a fixed final lineup. Artists may edit eligible lineups and unsold prices; sold work may leave the current display without erasing its sale. Unresolved checkout can prevent ordinary removal. Private exhibition activity retains what was recorded rather than requiring a new signature for each change.
Wallspace may correct errors, remove unsafe or unlawful content, prevent duplicate sales, or make a listing unavailable. Wallspace does not guarantee that a reservation will be accepted, an exhibition will receive a particular placement or audience, or artwork will sell.
5. Payments, fees, and taxes
The artist is the disclosed seller of the artwork to the buyer. Wallspace is the artist’s limited sales and payment-collection agent and a marketplace facilitator. Wallspace uses Stripe for connected-account onboarding and checkout, collects buyer payment on the artist’s behalf, collects and remits applicable sales tax, records the sale, and distributes amounts according to the Artist and Venue Agreements. Wallspace operates the platform payment charge through Stripe; it does not acquire title to the artwork or sell the artwork in its own name. The artist remains responsible for title, authenticity, and supplying the physical artwork.
The artist owes Wallspace a separately disclosed marketplace fee and separately owes the venue its disclosed commission. Wallspace collects the venue amount from the artist’s sale proceeds and passes it on as payment agent. Gross artwork proceeds, sales tax, the Wallspace fee, venue commission and artist net proceeds are recorded separately.
Fees and commission percentages are disclosed before the relevant reservation or transaction. Each user remains responsible for taxes on that user’s own income or compensation and for providing accurate payout and tax information.
Wallspace handles ordinary payment disputes and bears ordinary processing, refund and dispute fees and unrecoverable payment losses. A dispute over a sale in which the buyer received the artwork does not by itself take away an honest artist’s or venue’s agreed share. If a buyer cannot receive missing, stolen or pre-handover damaged artwork and Wallspace verifies and refunds the purchase, neither participant earns a share from that refunded sale and Wallspace gives up its sale fee. Unresolved cases remain under review; a buyer refund, transfer recovery and tax correction are separate steps.
6. Your content and intellectual property
You keep ownership of content you submit. You give Wallspace a non-exclusive, worldwide, royalty-free license to host, reproduce, resize, display, and share that content only as reasonably needed to operate, secure, support, and promote Wallspace and the relevant profile, venue, artwork, or exhibition.
You must have the rights needed to submit the content. Report claimed infringement to Wallspace support with enough information to identify the work and location.
7. Acceptable use
- Do not use Wallspace unlawfully, deceptively, abusively, or to infringe another person’s rights.
- Do not bypass access controls, scrape private data, interfere with the service, introduce malicious code, or misuse sign-in and payment systems.
- Do not submit counterfeit, stolen, hazardous, hateful, sexually exploitative, or otherwise prohibited artwork or content.
- Do not misrepresent identity, authority, ownership, condition, price, availability, payment, or pickup status.
8. Suspension and termination
You may stop using Wallspace at any time, subject to open reservations, transactions, records that must be retained, and obligations that survive termination. Wallspace may restrict or end access when reasonably needed to prevent harm, investigate fraud, comply with law, protect users, or address a material breach.
9. Artwork is displayed at the artist’s own risk
Subject to nonwaivable statutory rights, neither Wallspace nor the venue is responsible for theft, loss, or damage to artwork, however it happens, while it is transported, installed, displayed, stored, or removed. Wallspace never takes physical custody of any artwork. This applies only to the extent the law allows. Where chapter 18.110 RCW applies, this does not waive an art dealer’s strict liability for a consigned work in its possession, statutory trust-property protections for the work and sale proceeds, or other nonwaivable rights or remedies.
10. Service and liability limits
Wallspace is provided on an as-available basis. To the fullest extent allowed by applicable law, Wallspace disclaims implied warranties and is not responsible for indirect, incidental, special, or consequential loss, lost opportunity, or loss caused by another user, a venue’s premises, or artwork that Wallspace never possessed. This does not limit the refund and payment responsibilities expressly stated in these terms and the applicable role-specific agreement.
To the fullest extent the law allows, Wallspace’s total liability for all claims relating to Wallspace is limited to the greater of $100 or the fees Wallspace received from you in the 12 months before the claim. This does not reduce refunds or payouts these terms or the applicable role-specific agreement expressly promise.
Nothing in these terms, including the liability cap and loss exclusions, excludes liability or a remedy that cannot lawfully be excluded, including under chapter 18.110 RCW where applicable.
11. Resolving problems
If you have a problem with Wallspace, contact support first. Both sides will try to resolve it informally for 30 days before starting a formal claim. Either side may use small-claims court.
12. Changes to these terms
Wallspace will identify each version and effective date. Material changes will be presented through the service or another reasonable notice. A new material version will apply only after the required notice or acceptance; it will not silently rewrite a completed purchase or a previously recorded acceptance.
For launch, the Platform Terms, Artist Agreement, Venue Agreement, Purchase Terms, and Privacy Policy use one shared legal-bundle version so the presented legal bundle can be identified together. This document versioning is separate from the mutable exhibition lineup: ordinary artwork replacement or repricing does not create a new legal-bundle version.
