For artists

Artist Agreement

This agreement between you and Dysfunctional Co, LLC (“Wallspace”) covers artist profiles, artwork listings, venue reservations, exhibitions, in-person sales, and artist payouts.

Effective date
October 12, 2026
Legal bundle version
2026-10-12

You confirm that you are at least 18, created and own the work you list, and are able to enter this agreement. Your seller name shown at checkout must accurately identify you or the business you are authorized to represent as the actual seller; do not use another person’s identity. You will keep your identity, contact, payout, and tax information accurate and complete any Stripe verification needed to receive payouts.

  • Each work was authored and created by you, belongs to you, and is owned by you with good title and no lien or conflicting sale right. Resale of work created by another person is not allowed.
  • Your images, titles, dimensions, framed state, condition information, price, and availability are accurate and not misleading.
  • The work and submitted content do not infringe another person’s copyright, trademark, privacy, publicity, or other rights.
  • The work is physically safe and display-ready for the venue rules you accept, including suitable mounting hardware where required.
  • During launch, an artwork’s public asking price may not exceed $1,000.

Works sent with a reservation request are illustrative samples, not a fixed final artwork schedule. If the venue accepts the reservation, the current Wallspace exhibition record identifies the works then intended or placed for display.

During the exhibition, you may add, remove, or replace eligible work and change an unsold work’s asking price through Wallspace. Sold work may leave the current lineup without erasing its sale. A Live exhibition may become empty and receive replacements later. These ordinary operational changes do not create a new agreement version or require another signature. Keep availability accurate; a pending checkout can temporarily prevent removal, and a completed purchase keeps its confirmed price and payment record.

Wallspace automatically retains private exhibition activity and an Exhibition Record of the works, displayed details and prices, lineup changes, and Wallspace sales recorded during the exhibition. Later financial corrections are added without rewriting the final record. Planned lineups and participant-reported display events are not independent proof of physical possession or collection.

For each accepted reservation, you authorize the venue to display the current lineup at the accepted location and authorize Wallspace and the venue to use the artwork images, title, artist name, and exhibition details to present and reasonably promote that exhibition. You retain copyright; a buyer receives the physical object only.

You are responsible for transporting the work to and from the venue, documenting its condition, following venue access and installation rules, keeping it display-ready, and retrieving it when required. Wallspace never takes physical custody of any artwork.

Subject to nonwaivable statutory rights, artwork is displayed at your own risk. Neither Wallspace nor the venue is responsible for theft, loss, or damage to your artwork, however it happens, while it is transported, installed, displayed, stored, or removed. This applies only to the extent the law allows. In particular, it does not waive an art dealer’s strict liability for loss or damage while a consigned work is in that dealer’s possession under RCW 18.110.020(4), where that law applies.

You are the disclosed seller of your artwork to the buyer. You retain ownership until title passes directly from you to the buyer under the Purchase Terms. Wallspace does not buy your artwork for resale or sell it in its own name. You set the asking price and remain responsible for title, authenticity, accurate listing information, and supplying the physical artwork.

You appoint Wallspace as your limited sales and payment-collection agent to present your listing, operate checkout, receive the buyer’s payment on your behalf, collect and remit applicable sales tax as a marketplace facilitator, issue transaction records identifying you as seller, distribute sale proceeds, and administer the refunds, disputes and transfer reversals expressly described in this agreement. The buyer’s payment to Wallspace satisfies the buyer’s payment obligation to you to the extent paid. This authority does not transfer ownership of your artwork to Wallspace or authorize Wallspace to sell it for its own account.

The Artwork Price is your gross selling price before sales tax. You owe Wallspace a separate 15% artist fee for its marketplace services, calculated on that price and deducted from your sale proceeds. The Wallspace fee includes ordinary card processing and platform costs; those costs are not an additional deduction from your Artist Net Amount. Sales tax charged to the buyer is collected for remittance and is not part of your proceeds or Wallspace’s fee.

You separately owe the venue the commission shown for the accepted reservation for its display and related services. You authorize Wallspace to collect that amount from your sale proceeds and pass it to the venue as your payment agent. The venue commission is the venue’s compensation owed by you, not an additional Wallspace fee or a venue service purchased by Wallspace for itself. Wallspace’s express refund, dispute and payment-loss responsibilities below remain unchanged.

Artist Net Amount means the amount payable to you from a full-price Wallspace sale: the Artwork Price less the disclosed venue commission and Wallspace artist fee. For a contractual valuation under the artist–venue display relationship that the law allows, the agreed value is the Artist Net Amount. Where chapter 18.110 RCW applies, the Artwork Price instead controls as the agreed statutory value described below; the Artist Net Amount does not limit nonwaivable statutory rights or remedies. If the unsold work’s Artwork Price or applicable commission changes, the Artist Net Amount changes prospectively with it.

For each accepted exhibition, you and the venue agree that, before a work is delivered for display, its current Artwork Price in the Wallspace exhibition record is its agreed value and minimum authorized selling price, excluding sales tax, for purposes of chapter 18.110 RCW where applicable. The disclosed Wallspace fee and venue commission state the compensation basis. An artist-authorized price change recorded before a loss or damage changes the agreed value and minimum selling price prospectively; an already-issued checkout retains its previously authorized price. A later change does not rewrite a completed sale or the value agreed before a loss or damage.

If chapter 18.110 RCW applies to a work delivered on consignment to an art dealer, the work remains statutory trust property until a bona fide third-party sale, and the sale proceeds remain statutory trust property until the amount due to the artist is paid. The chapter’s protection against the dealer’s creditors, liens and security interests applies. Nothing in this agreement waives that trust status, an applicable dealer’s statutory duties, or any other nonwaivable right or remedy. The chapter’s application depends on the actual consignment and delivery facts.

You authorize a buyer with confirmed Wallspace payment to safely collect the identified artwork directly from the venue without staff approval. Prepare work for safe removal under the venue rules; buyers may ask staff for optional assistance. Wallspace records payment, not physical collection. Buyer email and receipt reference are available privately for your own sales and may be used only for transaction support, not unsolicited marketing.

Stripe processes payments collected by Wallspace on your behalf and connected-account transfers. Wallspace deducts your separately disclosed venue commission and Wallspace fee and sends your Artist Net Amount to your connected Stripe account, subject to the payment, refund and review rules in this agreement.

For new sales, transfers of artist and venue shares are scheduled no earlier than 14 calendar days after Wallspace records confirmed payment, subject to available funds, Stripe requirements and unresolved payment issues. This is not a return period or a promised bank payout date. Exceptions remain on hold for review; bank settlement takes additional time. You remain responsible for taxes on your income and accurate payout and tax information.

Where RCW 18.110.020(3) applies, you expressly agree in writing to the preceding transfer schedule and its stated payment-review and Stripe-related holds as the alternative payment timing permitted by that subsection. Those holds and bank settlement may result in payment more than 30 days after Wallspace receives the buyer’s payment. This timing agreement does not waive statutory trust-property protections or change the refund, dispute, transfer-recovery or payment-loss responsibilities stated here.

A payment dispute alone does not take away an honest artist’s Artist Net Amount for artwork the buyer received. Wallspace handles ordinary payment disputes and bears their fees and any unrecoverable payment loss.

If Wallspace verifies that a buyer who paid cannot receive missing, stolen or pre-handover damaged artwork, it will refund the purchase. Neither the artist nor venue earns a share from that refunded sale, and Wallspace gives up its sale fee and covers ordinary processing and refund costs. A buyer refund does not itself reverse an original transfer already sent; any recovery of that transfer requires a factual and lawful basis and separate provider confirmation.

Wallspace operates the Stripe charge as the platform payment merchant while collecting payment as your agent. That payment-processing role does not make Wallspace the seller or owner of your artwork. You receive your Artist Net Amount as a payout recipient through Stripe. Stripe presents any terms that apply to you during Stripe onboarding; for payout recipients, see the Stripe Recipient Notice at stripe.com/legal/connect-account/recipient. You agree to provide Wallspace and Stripe accurate and complete information about you and your business, and you authorize Wallspace to share that information and related transaction information with Stripe to set up and send your payouts.

Washington marketplace-facilitator notice: Dysfunctional Co, LLC, operating as Wallspace, is registered with the Washington Department of Revenue under tax account ID 605-913-825. Wallspace intends to collect and remit Washington retail sales and use tax as required on the sales it facilitates for you. Keep this written notice with your records; it concerns sales and use tax collection, not payment of your own business and occupation or income taxes.

Wallspace keeps sale records that distinguish your gross Artwork Price, sales tax, Wallspace fee, venue commission, Artist Net Amount, and later financial adjustments. A net payout is not your gross selling price. You remain responsible for your own business registration, income taxes, and applicable business and occupation taxes on your sales; Wallspace’s sales-tax collection does not pay those taxes for you. Any transaction summary is a sales record, not a tax return or a substitute for an applicable tax form.

Before making a displayed work unavailable through another sale, remove it from the exhibition in Wallspace and confirm that removal succeeded. No separate outside-sale status or report is required. An unresolved Wallspace checkout may prevent ordinary removal; do not assume an already-issued payment link has expired. Contact support if you cannot resolve that hold.

You are responsible for keeping availability accurate. If you leave the work listed and a Wallspace buyer pays and collects it, Wallspace will not undo that completed purchase merely because you made a conflicting outside sale. You must resolve your separate transaction, including any refund owed there, yourself. If the Wallspace buyer cannot receive the work, the verified inability-to-collect refund terms above apply to that Wallspace purchase. Wallspace does not process the outside sale or administer its buyer, receipt, tax or refund.

You may withdraw a pending request. For an accepted exhibition, ask Wallspace support to help cancel or change your plans. The venue may cancel an accepted exhibition at any time before completion without your or Wallspace’s approval or a cancellation fee, giving a reason in Wallspace. A Live cancellation records an early end. Arrange safe removal promptly with the venue and do not abandon work.

Cancellation stops new checkout but does not erase paid sales, automatically refund a buyer, or prove an issued payment link is expired. A payment that completes during closure is held for review. Early end keeps the original month occupied; before Live, unresolved display or checkout commitments can also retain it. A later exhibition requires a new eligible request and venue acceptance, not rewriting the old dates or consent.

To the extent allowed by law, you remain responsible for third-party claims arising from your lack of title, infringement, unsafe work or unlawful conduct. You must resolve claims arising from your separate sale outside Wallspace as described above. Wallspace buyer refunds, payment disputes and their fees are governed by “Checkout, sales, and payouts.” Apart from recovery of your affected original transfer after a verified inability-to-collect refund, and repayment where your fraud or collusion is established on an individual factual and legal basis, this section does not make you pay Wallspace any buyer refund, dispute amount, processing, refund or dispute fee, or payment loss. A dispute alone is not proof of fraud or a debt. No automatic bank debit or offset of unrelated future earnings is authorized here. This does not make you responsible for Wallspace’s or a venue’s own misconduct or a duty that cannot lawfully be shifted.
